Agreement to Terms

By accessing or using NewLogo (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. You must be at least 18 years old to use this Service.
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through a notice on our Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. Certain features of the Service may be subject to additional terms and conditions.

Description of Service

NewLogo is an AI-powered logo generation platform that allows users to:
- Generate minimalist logo designs using artificial intelligence
- Customize logos with precise color control
- Export logos in multiple formats (SVG, PNG, JPG)
- Access a library of generated logos
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. While we strive to maintain continuous Service availability, we do not guarantee that the Service will be available at all times or that it will be error-free.

Account Registration and Security

To access certain features of the Service, you must create an account by providing:
- A valid email address
- A username
- A secure password
You agree to provide accurate, current, and complete information during registration and to update such information as needed.
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
It should be noted that:
- You may not share your account credentials with any third party
- You may not allow others to access your account
- You must refrain from creating multiple accounts for abusive or fraudulent purposes
- You are prohibited from using another user's account without permission
We reserve the right to suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent activity
- You abuse the Service or other users
- We are required to do so by law

Subscriptions and Payments

The Service offers various subscription plans with different features and pricing:
- Monthly subscriptions: Billed every month from the date of subscription
- Annual subscriptions: Billed annually from the date of subscription
- All fees are stated in USD unless otherwise specified
Payments are processed securely through Stripe, our third-party payment processor. Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription price.
We may change subscription prices at any time. Price changes for existing subscriptions will:
- Be communicated to you at least 30 days in advance
- Take effect at the next renewal date
- Give you the option to cancel before the new price takes effect
Refund policy:
- Monthly subscriptions: No refunds for partial months
- Annual subscriptions: Refunds may be provided on a case-by-case basis within 14 days of initial purchase
- Disputed charges: Contact [email protected] within 30 days of the charge
You may cancel your subscription at any time through:
- Your account settings
- The Stripe customer portal
- Contacting [email protected]
Upon cancellation:
- You retain access until the end of your current billing period
- You will not be charged for subsequent billing periods
- Your generated logos remain accessible according to your plan terms

Intellectual Property Rights

Upon payment of applicable fees and subject to compliance with these Terms, you are granted a non-exclusive, worldwide, perpetual license to use the logos you generate and download through the Service for your commercial and personal purposes.
It is important to note that:
- You may not resell or redistribute logos as standalone digital assets
- You may not claim copyright ownership of logos as artistic works (you own the license to use, not the underlying copyright)
- You are prohibited from using logos in a manner that violates applicable laws or third-party rights
All content, features, and functionality of the Service (excluding user-generated content) are owned by NewLogo or its licensors and are protected by international copyright, trademark, and other intellectual property laws.
It should be noted that:
- You may not copy, modify, or create derivative works of the Service
- You may not reverse engineer, decompile, or disassemble any part of the Service
- You may not remove, alter, or obscure any proprietary notices
- You are prohibited from using the Service to create a competing service
By using the Service, you grant us a limited license to:
- Store and process your inputs (logo description, style preferences, color selections)
- Generate logos based on your inputs
- Provide technical support related to your use of the Service
We do not claim ownership of your inputs or generated content. If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Service without compensation or attribution.

Acceptable Use Policy

You agree that:
- Violate laws: You are prohibited from using the Service in violation of any applicable laws or regulations
- Infringe rights: You are prohibited from generating or using logos that infringe on third-party intellectual property, trademark, copyright, or other proprietary rights
- Create harmful content: You are prohibited from creating logos containing:
  - Hate speech, violence, or discriminatory content
  - Sexually explicit or pornographic material
  - Illegal or fraudulent content
  - Misleading or deceptive information
You agree that:
- Abuse the Service:
  - You are prohibited from attempting to gain unauthorized access to the Service or user accounts
  - You are prohibited from using automated tools (bots, scrapers) without permission
  - You are prohibited from overloading, disrupting, or interfering with the Service infrastructure
  - You are prohibited from circumventing usage limits or payment requirements
- Misrepresent: You may not impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
- Spam: You are prohibited from sending unsolicited communications, advertisements, or spam using logos or content from the Service
Violations of this Acceptable Use Policy may result in:
- Warning notification
- Temporary suspension of account
- Permanent termination of account
- Legal action, if necessary

AI-Generated Content

Logos are generated using artificial intelligence algorithms powered by third-party AI services. AI-generated content is inherently non-deterministic and may occasionally produce unexpected results.
While we strive to generate unique logos:
- It is not guaranteed that your logo is completely unique from all other logos ever created
- It is not guaranteed that your logo does not inadvertently resemble existing trademarks or copyrighted works
- It is not guaranteed that your logo will be suitable for trademark registration
You are solely responsible for:
- Conducting trademark searches before using a generated logo commercially
- Ensuring your logo does not infringe on third-party rights
- Obtaining necessary permissions or licenses for commercial use
- Complying with trademark and copyright laws in your jurisdiction
You agree to indemnify and hold harmless NewLogo from any claims arising from your use of AI-generated logos, including trademark or copyright infringement claims.

Third-Party Services

Our Service integrates with third-party services including:
- Stripe (payment processing)
- Third-party AI service providers (AI logo generation)
- Resend (email services)
- Cloud hosting providers
Your use of third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the practices, content, or services of third parties, nor liable for any unavailability, errors, or failures of third-party services that may affect your use of our Service.

Disclaimers and Limitations of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy, reliability, or quality of any content or information obtained through the Service
It is important to note that:
- Generated logos are not guaranteed to meet your specific requirements
- Generated logos are not guaranteed to be suitable for trademark registration
- The Service is not guaranteed to produce error-free or unique results
- The Service is not guaranteed to achieve any particular logo style or quality
To the maximum extent permitted by law, NewLogo and its officers, directors, employees, and agents shall not be liable for:
- Indirect damages: Any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
  - Loss of profits, revenue, or data
  - Loss of business opportunities
  - Cost of substitute services
  - Damage to reputation
- Direct damages: Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless NewLogo and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any rights of another party, including intellectual property rights
- Your use of AI-generated logos in violation of applicable laws
- Any content or information you submit through the Service
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of these claims.

General Provisions

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and NewLogo regarding the Service.
- No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term
- Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision
- If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect
- You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
By using the Service, you consent to receive electronic communications from us. These communications may include notices about your account and information concerning or related to the Service. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

Termination

You may terminate your account at any time by:
- Canceling your subscription through account settings

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms
- Request by law enforcement or government agencies
- Unexpected technical issues or problems
- Extended periods of inactivity
- Engaging in fraudulent or illegal activities
Upon termination:
- Your right to use the Service will immediately cease
- You will no longer have access to your account or generated logos (unless downloaded prior to termination)
- We may delete your account data after a reasonable period
- Provisions of these Terms that should survive termination will remain in effect
After termination, we may retain certain data as required by law or for legitimate business purposes. You may request deletion of your data by contacting [email protected].
